Terms & Conditions

By accessing or using the Burp platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are accepting on behalf of a business, you represent that you have the authority to bind that entity to these Terms. If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you ("Customer") and Vertics Software LLC, a company registered in Abu Dhabi, UAE ("Vertics", "we", "us").

Burp is a cloud-based restaurant management platform that provides point-of-sale, inventory, kitchen display, reporting, HR, and related modules for food and beverage businesses. The Service is provided on a subscription basis and accessed via a web browser or authorised mobile application.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

**3.1 Plans.** The Service is offered under subscription plans as described on our Pricing page. Features and usage limits vary by plan.

**3.2 Billing.** Subscriptions are billed in advance on a monthly or annual cycle as selected at sign-up. All fees are stated in UAE Dirhams (AED) and are exclusive of UAE VAT (5%), which will be added where applicable.

**3.3 Payment.** Payment is due on the billing date. We reserve the right to suspend access to the Service if payment is not received within seven (7) days of the due date.

**3.4 Refunds.** Subscription fees are non-refundable except where required by UAE consumer protection law or where we have materially failed to deliver the Service as described.

**3.5 Price changes.** We will give you at least 30 days' notice of any price change. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at sales@verticserp.com if you suspect any unauthorised access to your account. We will not be liable for any loss or damage arising from your failure to safeguard your credentials.

You agree not to use the Service to:

• Violate any applicable UAE or international law or regulation. • Process data relating to individuals under 18 years of age. • Upload or transmit malicious code, viruses, or any software that may harm our systems or other users. • Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure. • Resell, sublicence, or redistribute the Service without our prior written consent. • Use the Service to develop a competing product or service.

We reserve the right to suspend or terminate accounts that violate this section without prior notice.

**6.1 Your data.** All business data you enter into the Service (orders, menus, inventory, staff records, and customer data) remains your property. We process it solely to provide the Service.

**6.2 Our use.** We may use aggregated and anonymised data derived from usage of the platform for product improvement and benchmarking purposes. This data cannot be used to identify you or your business.

**6.3 Privacy Policy.** Our collection, use, and protection of personal data is governed by our Privacy Policy, incorporated herein by reference.

**6.4 Data export.** You may export your data at any time through the platform's built-in export tools. Upon termination, we will make your data available for export for 30 days, after which it may be deleted.

The Service, including all software, design, trademarks, and content, is owned by Vertics Software LLC and protected under UAE intellectual property laws. These Terms do not grant you any ownership rights in the Service.

We grant you a limited, non-exclusive, non-transferable licence to access and use the Service solely for your internal business operations during the subscription term.

Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

We target a platform uptime of 99.5% measured monthly, excluding scheduled maintenance. Scheduled maintenance will be communicated at least 48 hours in advance.

Support is provided via email at sales@verticserp.com and by phone during business hours (Monday–Saturday, 9:00 AM–6:00 PM UAE time). Response times vary by plan as described in the relevant service level documentation.

To the maximum extent permitted by UAE law, Vertics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising out of or relating to your use of the Service.

Our total aggregate liability to you in any 12-month period shall not exceed the total subscription fees paid by you during that period.

Nothing in these Terms limits our liability for fraud, wilful misconduct, or personal injury caused by our negligence.

You agree to indemnify, defend, and hold harmless Vertics, its affiliates, officers, and employees from any claims, liabilities, damages, and costs (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

**12.1 By you.** You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

**12.2 By us.** We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if we are required to do so by law.

**12.3 Effect of termination.** Upon termination, your right to use the Service ceases. You remain responsible for all fees accrued up to the termination date.

These Terms are governed by and construed in accordance with the laws of the Emirate of Abu Dhabi and the federal laws of the UAE, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Abu Dhabi, UAE.

We may update these Terms from time to time. We will notify you of material changes by email or in-platform notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
